Terms of Service

1. AGREEMENT TO TERMS

‍These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Fragua LLC ("Agency," "we," "us"), concerning your access to and use of our Webflow design and development services. By engaging our services, you agree to these Terms.

2. SERVICES

‍Fragua LLC provides website design, development, and maintenance services as described in the specific proposal, invoice, or Statement of Work provided to the Client.

3. CLIENT OBLIGATIONS

  • Assets: Client agrees to provide all necessary text, images, brand assets, and credentials (e.g., DNS access) in a timely manner.
  • Delays: The Agency is not responsible for missed deadlines caused by the Client's failure to provide assets, feedback, or approvals on time.

4. FEES AND PAYMENT

  • Deposit: Unless otherwise agreed in writing, a non-refundable deposit of 50% of the total project fee is required to commence work.
  • Final Payment: The remaining 50% is due upon project completion, before the final transfer of the website to the Client's Webflow account.
  • Late Fees: Invoices overdue by more than 14 days may incur a late fee of 5% per month.
  • Refunds: In the event of early termination by the Client, the Client shall pay the Agency for all work completed up to the date of termination. Deposits are non-refundable.

5. INTELLECTUAL PROPERTY & PORTFOLIO RIGHTS

  • Client Ownership: Upon full payment of all fees, the Client is granted full ownership of the final website design, content, and code.
  • Agency Rights: Fragua LLC retains ownership of its "Background IP" (pre-existing code snippets, internal tools, and reusable frameworks), granting the Client a perpetual, non-exclusive license to use them for the website.
  • Portfolio License: Notwithstanding the foregoing, the Client grants Fragua LLC a non-exclusive right to display the final website, Client’s name, and logo in the Agency’s portfolio, marketing materials, and social media for the sole purpose of demonstrating our work.

6. CONFIDENTIALITY & DATA PROTECTION

  • Confidentiality: Both parties agree to keep proprietary information (business strategies, trade secrets) confidential.
  • GDPR Role: In the event Fragua LLC processes personal data on behalf of the Client (e.g., accessing a Client's user database), Fragua LLC acts as a Data Processor. We agree to process such data solely to fulfill this Agreement and in accordance with our Privacy Policy.

7. LIMITATION OF LIABILITY

‍To the fullest extent permitted by law, Fragua LLC’s liability for any claim arising out of these Terms shall be limited to the total amount paid by the Client to the Agency for the specific project giving rise to the claim.In no event shall the Agency be liable for lost profits, loss of data, or third-party service failures (e.g., Webflow hosting downtime or API outages).

8. GOVERNING LAW AND JURISDICTION

‍These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved exclusively in the courts of Wyoming.

  • EU Consumer Exception: If the Client is a consumer (not a business) residing in the EU, this clause does not deprive them of the protection afforded by mandatory provisions of the law of their country of residence.
